Disclosures
No offer. No investment advice. Not FINMA-supervised. And we hold equity in the ventures we write about.
1. No offer, no solicitation
Under no circumstances should any content on this website be construed as an offer to sell, or a solicitation of an offer to buy, any security, share, quota, participation, interest, unit or other financial instrument, in any jurisdiction, to any person.
Nothing here is intended to constitute, or to contain sufficient information about the terms of, an offer or an invitation to make an offer to acquire a financial instrument within the meaning of Article 3(g) and (h) of the Swiss Financial Services Act, or an offer of securities to the public within the meaning of Article 2(d) of Regulation (EU) 2017/1129.
Living Scale Up does not currently operate, manage or market a pooled investment vehicle, fund or collective investment scheme, and it is not currently offering securities or raising capital from third-party investors. Where we refer to co-investment, we mean a direct investment by an invited party into the capital of an individual venture, on terms agreed separately with that venture — not a participation in any vehicle managed by Living Scale Up.
Any actual investment would be made solely on the basis of separate definitive documentation provided directly to eligible investors, which would supersede everything on this website in its entirety. No prospectus, key information document or offering memorandum has been prepared, filed, approved or published in respect of any interest referred to on this site. No offer will be made in any jurisdiction where it would be unlawful or would require registration, authorisation or filing that has not been obtained or made.
2. No investment advice
The content of this website is general information only. It is not investment, legal, tax, accounting, regulatory or other professional advice, and it is not a personal recommendation to buy, sell, hold or refrain from any investment or course of action.
It does not take account of your investment objectives, financial situation, knowledge, experience, risk tolerance or particular needs, and no assessment of suitability or appropriateness has been carried out in respect of any person. You should obtain independent investment, legal, tax and accounting advice, and form your own view, before making any decision.
3. Our regulatory status
We state this affirmatively rather than leave you to assume it. Living Scale Up is not authorised, licensed or supervised by the Swiss Financial Market Supervisory Authority (FINMA), or by any other financial regulator. It is not a bank, securities firm, portfolio manager, trustee, manager of collective assets or fund management company; it does not hold a client adviser registration; and it is not a member of an ombudsman scheme under the Financial Services Act. It invests its own balance sheet in the ventures it builds and provides operational and strategic support to them.
You do not have the protections that apply to clients of a supervised financial institution, including any statutory suitability assessment, prescribed rules of conduct or ombudsman recourse.
4. Conflicts of interest
This is the disclosure that matters most, so it is stated plainly rather than buried.
Living Scale Up, or an entity under common ownership with it, holds, or expects to hold, equity in the ventures described on this website. We build them, we take founding positions in them, and we benefit financially if they succeed. It follows that:
- we have a direct financial interest in the success, valuation and public perception of those ventures;
- we act in our own financial interest, which may differ from, and may conflict with, the interests of other shareholders, co-investors, prospective investors, clients or readers;
- our personnel may hold board seats, officer roles or personal equity in those ventures, and we receive fees, equity or both for services provided to them;
- anything we publish about a venture in which we hold or expect to hold an interest is commentary from an investor and co-founder. It is not independent research, not a financial analysis, and not objective in the sense that word is normally used. It should not be relied on as such.
We keep this distinction visible in how we publish: where we discuss a venture we have a position in, we say so on the page, and we describe it as one of our ventures rather than as a neutral market observation. Where we publish genuinely position-free market or sector material, it is structurally separate from portfolio content. We do not label content about our own portfolio as "research", "analysis" or "independent".
5. Forward-looking statements
Statements on this website about plans, intentions, pipeline, models, projections, estimates, forecasts, targets, expectations, prospects and opinions are forward-looking statements. They are not statements of fact or promises of outcome. They rest on assumptions and involve known and unknown risks, uncertainties and other factors, many outside our control, and they are subject to change without notice.
Actual results may differ materially. We make no representation that any projection, target or estimate will be realised, and we undertake no obligation to update any forward-looking statement. No return is promised, targeted or guaranteed.
6. Past performance and benchmarks
Past results of our investments, ventures or strategies are not necessarily indicative of future results. Nothing on this site should be read as a forecast of what any investment will return.
Where we cite industry benchmarks — venture-studio performance research, internal-rate-of-return comparisons, funding-rate or retention data — those figures are third-party benchmarks presented with their source, vintage and denominator. They are the standards we hold ourselves to. They are never our own results, and they must not be read as our results or as an expectation of them. Several such figures are self-reported by the studios surveyed and carry the selection and survivorship biases inherent in that.
Living Scale Up launched in July 2026 and is pre-revenue. Our own current position, including the figures that do not flatter us, is published on the canonical facts page under our published growth disclosure standard.
7. Our portfolio, including what is not in it
Ventures named on this site are not necessarily a complete list of the ventures Living Scale Up has built, holds or has held, and they are not necessarily representative. It should not be assumed that any venture shown was, is, or will be profitable, or that any decision we make in future will be.
Ventures that failed, were discontinued or were written off are not necessarily shown on marketing pages. A studio's public portfolio is inherently selected. We say so because it is true. The current portfolio, and its status, is on the ventures page.
8. Jurisdictional restrictions
This website is published from Switzerland and is intended for a general professional audience. It is not directed at any person in any jurisdiction where its publication or availability would be contrary to law or regulation, or would subject Living Scale Up to any registration, authorisation or licensing requirement in that jurisdiction. It is your responsibility to observe any restrictions that apply to you.
In particular, nothing on this site constitutes an offer of securities in the United States or to any US person; an offer or promotion to retail or non-qualified investors in the European Economic Area or the United Kingdom; or the marketing of an alternative investment fund in any EEA member state.
9. Risk warning
Investing in early-stage private companies is high risk. As with all investments, you could lose money — including, potentially, your entire investment. Early-stage equity is illiquid, may be impossible to value or to transfer, may be subject to transfer restrictions and consent requirements, and is very likely to be diluted by later financing rounds. Most early-stage companies do not succeed, and total loss of capital is a realistic outcome, not a remote one. Any investment should be made only by those who can bear that loss without material consequence and as part of a diversified portfolio.
10. No reliance, no duty to update
Information on this site is provided as at the date indicated and may be superseded. We give no representation or warranty, express or implied, as to its accuracy, completeness, reliability or currency, and we accept no responsibility for it beyond what the law requires. No person should rely on it as the basis of any decision.
Third-party links are provided for convenience; we do not endorse, approve or certify the sites they lead to. To the extent permitted by law, Living Scale Up and its officers, employees and contractors accept no liability for any loss arising from use of, or reliance on, this website, save in cases of unlawful intent or gross negligence. Nothing here excludes liability that cannot lawfully be excluded.
This page is governed by Swiss law, with exclusive jurisdiction at our registered seat, as set out in the Legal Notice.
